Elliot Kermani has over two decades of experience providing strategic, legal and business counsel on day-to-day corporate and commercial transactional matters, mergers and acquisitions, investments and financings, and joint ventures. He has worked with a variety of companies, including companies in technology, hospitality, internet, digital media, e-commerce, entertainment, retail, real estate, cannabis and financial services.
Experience
Mr. Kermani is well-versed in managing all aspects of purchase and sale arrangements, development and distribution deals, private placement and other securities offerings, and corporate and LLC formation and governance. He is also highly skilled with drafting and negotiating commercial contracts such as licensing, advertising, marketing, promotional, service and supply, procurement, intellectual property, vendor, employment, and consulting agreements.
Prior to working with Novian & Novian, Mr. Kermani served as Lead Corporate Attorney as part of the Product Innovation team at LegalZoom and founded EK/LAW, a full service business law firm and consulting company. He was also previously an associate at Goldman Sachs, in-house counsel for Yahoo! and The Wonderful Company, and a Senior Associate at top-tier international corporate law firms of Skadden, Arps, Slate, Meagher and Flom and DLA Piper.
Mr. Kermani graduated from the University of California, Los Angeles (B.A., Business-Economics, Minor in Accounting, magna cum laude) in 1998 and received his law degree from New York University (NYU) School of Law (J.D.) in 2002. He is admitted to the State Bar of California.
